About these terms

These terms govern your use of scaledex.com (the “site”) and of any services Scaledex Limited (“Scaledex”, “we”) provides through it. By using the site you agree to them. If you do not agree, do not use the site.

Work we carry out for clients is governed by the proposal, statement of work or agreement signed for that engagement. Where such an agreement exists, it takes precedence over these terms for that work.

Definitions

“Company” or “Scaledex” means Scaledex Limited, a company registered in Bangladesh with its office at House 8/B, Road 1, Gulshan-1, Dhaka 1212.

“Services” means any service Scaledex provides, including the site itself and the information on it.

“User” or “you” means anyone using the services or accessing the site for any purpose.

“Content” means the text, images, code, designs, logos and other material on the site.

Using the site

You need an internet connection and suitable equipment to use the site; obtaining and paying for them is your responsibility.

We may change, suspend or withdraw any part of the site or the services at any time, with or without notice, and we are not liable to you for doing so.

Acceptable use

You must use the site and the services only for lawful purposes. In particular you must not: submit or transmit material that is unlawful, defamatory, obscene, threatening, harmful to minors or in breach of anyone’s rights; impersonate any person or organisation, or misrepresent your affiliation with one; use the site or our contact channels to send unsolicited advertising, spam or any other unwanted solicitation; knowingly or negligently transmit anything that could damage or disrupt our systems or anyone else’s; or collect or store personal data about other users or third parties.

If you breach these rules we may stop you using the site and the services and pursue any remedy available to us.

Content and intellectual property

All rights in the content of the site, including copyright, belong to or are licensed to Scaledex. Client names, logos and product names shown on the site belong to their owners and appear with permission.

You may view, download and print content from the site for your own personal, non-commercial use. You may not otherwise copy, reproduce, republish, distribute, adapt or commercially exploit any content without our written permission.

Disclaimer of warranties

The site and its content are provided as they are. To the extent the law allows, we make no warranty of any kind about them: not that they are accurate, complete, current, reliable or available without interruption, not that they are fit for any particular purpose, and not that they do not infringe anyone’s rights.

Information on the site is general and is not professional advice for your specific situation. Descriptions of services and past work are illustrative; what we deliver for a client is defined in that client’s agreement.

Limitation of liability

To the fullest extent permitted by law, Scaledex, its directors, employees and affiliates are not liable to you for any loss or damage of any kind arising from your use of, or inability to use, the site or the services, including indirect and consequential loss. Nothing in these terms excludes liability that cannot be excluded by law.

Indemnity

You agree to indemnify Scaledex, its directors, employees and affiliates against any claim, loss, liability or expense, including reasonable legal fees, arising from your breach of these terms or your misuse of the site or the services.

Privacy

How we handle personal data is described in our privacy policy at scaledex.com/privacy, which forms part of these terms. It does not cover information you choose to share with other people through third-party services linked from the site.

Changes to these terms

We may revise these terms at any time by updating this page and the date at the top. Continued use of the site after a change means you accept the revised terms.

Governing law

These terms are governed by the laws of Bangladesh. Any dispute arising from them or from your use of the site is subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

General

If any part of these terms is found invalid or unenforceable, the rest remains in force, and the invalid part is to be read as closely to its original intent as the law allows.

If we do not enforce a right or a provision, that is not a waiver of it.
